  1. Sun Microsystems, Inc. ("Sun") SOFTWARE LICENSE AGREEMENT ("SLA") and
  2. ENTITLEMENT for SOFTWARE
  3. A. ENTITLEMENT for SOFTWARE. Capitalized terms not defined in this Entitlement
  4. have the meanings ascribed to them in the SLA (attached below as Section B).
  5. These terms will supersede any inconsistent or conflicting terms in the SLA.
  6. Licensee ("You"): The entity receiving the Software from Sun.
  7. Effective Date: Date You receive the Software
  8. Software: Solaris Enterprise System, which may include the following:
  9. Solaris 10, Sun Java System Access Manager, Sun Java System Directory Server
  10. Enterprise Edition, Sun Java Directory Proxy Server, Sun Java System Identity
  11. Manager, Sun Java System Identity Manager Resource Adapters, Sun Java System
  12. Identity Synchronization for Windows, Sun Java System Federation Manager, Sun
  13. Java Auditor, Sun Java System Application Server Standard Edition, Sun Java
  14. System Application Server Enterprise Edition, Sun Java System Message Queue
  15. Enterprise Edition, Sun Java System Web Server, Sun Java System Web Proxy
  16. Server, Sun Java System Portal Server, Sun Java System Portal Server Secure
  17. Remote Access, Sun Java System Portal Server Mobile Access, Service Registry,

  42. SeeBeyond Alert Agent, Sun SeeBeyond SNMP Agent, Sun SeeBeyond COBOL Copybook
  43. Converter and Sun SeeBeyond eIndex Single Patient View. Software includes only
  44. the versions of the above products that are made initially available to You.
  45. License Term: Perpetual (subject to termination under the SLA)
  46. Licensed Unit: Software Copy
  47. Licensed Unit Count: Unlimited
  48. Permitted Uses: You may reproduce and use the Software internally for Your
  49. own Individual, Commercial, Service Provider, or Research and Instructional Use,
  50. subject to and conditioned on Your compliance with the Additional Terms below.
  51. Additional Terms:
  52. 1. The scope of Your license does not include any right, express or implied,
  53. (i) to access, copy, distribute, display or use the Software to provide
  54. diagnostic, maintenance, repair or technical support services for Sun software
  55. or Sun hardware on behalf of any third party for Your direct or indirect
  56. commercial gain or advantage, without Sun's prior written authorization, or
  57. (ii) for any third party to access, copy, distribute, display or use the
  58. Software to provide diagnostic, maintenance, repair or technical support
  59. services for Sun software or Sun hardware on Your behalf for such party's direct
  60. or indirect commercial gain or advantage, without Sun's prior written
  61. authorization. The limitations set forth in this paragraph apply to any and
  62. all error corrections, patches, updates, and upgrades to the Software You may
  63. receive, access, download or otherwise obtain from Sun.
  64. 2. Notwithstanding anything to the contrary in any Master Terms between the
  65. parties or in the SLA, Master Terms do not apply to Software under this
  66. Agreement. For Solaris 10, Sun Management Center, Sun Studio, Java Studio
  67. Enterprise, Java Studio Creator, and Netbeans IDE only, any Master Terms
  68. purporting to cover those products shall apply, as supplemented and superseded
  69. by Sections 1-6 of the SLA.
  70. 3. If You would like to purchase Service for the Software, You must first
  71. purchase a separate Entitlement to the Software. Sun will not provide Service
  72. to You for Software provided under this Entitlement. You may, however, purchase
  73. support under this Entitlement for Solaris 10, Sun Management Center, Sun
  74. Studio, Java Studio Enterprise, Java Studio Creator, and Netbeans IDE.
  75. 4. Sun reserves the right to End of Life (EOL), End of Service Life (EOSL), add
  76. to, take away, re-brand and otherwise change the components in any subsequent
  77. version or update of the Software.
  78. 5. Your Service Provider Use is limited to a ratio of two hundred non-Employees
  79. for each Employee (200:1) accessing the Software.
  80. 6. You are authorized to develop software programs utilizing Solaris 10. If You
  81. desire to develop software programs which incorporate portions of Solaris 10
  82. ("Developed Programs"), the following provisions apply: (i) You may not modify
  83. or add to application programming interfaces associated with Solaris 10;
  84. (ii) You are not licensed to use fonts within Solaris 10 to develop printing
  85. applications unless You have secured valid licenses from the appropriate font
  86. suppliers; (iii) incorporation of portions of Motif in Developed Programs may
  87. require reporting of copies of Developed Programs to Sun; and (iv) You will
  88. indemnify and defend Sun and its licensors from any claims, including attorneys'
  89. fees, which arise from or relate to distribution or use of Developed Programs
  90. to the extent these claims arise from or relate to the development performed by
  91. You.
  92. 7. Sun Management Center includes third party database software which is
  93. provided to support Solaris operating system services only. The third party
  94. database software may not be used to provide any other type of data storage nor
  95. may the interfaces from the third party database software be accessed or used by
  96. any third party applications.
  97. 8. You may use Java Compilers contained in Software provided that for a
  98. particular version of the Java platform, any executable output generated by a
  99. Java compiler contained in the Software (i) is compiled from source code that
  100. conforms to the corresponding version of the OEM Java Language Specification;
  101. (ii) is in the class file format defined by the corresponding version of the OEM
  102. Java Virtual Machine Specification; and (iii) executes properly on a reference
  103. runtime, as specified by Sun, associated with such version of the Java platform.
  104. 9. During the term of the SLA and Entitlement, and for a period of three (3)
  105. years thereafter, You agree to keep proper records and documentation of Your
  106. compliance with the SLA and Entitlement. Upon Sun's reasonable request, You will
  107. provide copies of such records and documentation to Sun for the purpose of
  108. confirming Your compliance with the terms and conditions of the SLA and
  109. Entitlement. This section will survive any termination of the SLA and
  110. Entitlement. You may terminate this SLA and Entitlement at any time by
  111. destroying all copies of the Software in which case the obligations set forth in
  112. Section 7 of the SLA shall apply.
  113. B. SOFTWARE LICENSE AGREEMENT
  114. READ THE TERMS OF THIS AGREEMENT ("AGREEMENT") CAREFULLY BEFORE OPENING SOFTWARE
  115. MEDIA PACKAGE. BY OPENING SOFTWARE MEDIA PACKAGE, YOU AGREE TO THE TERMS OF THIS
  116. AGREEMENT. IF YOU ARE ACCESSING SOFTWARE ELECTRONICALLY, INDICATE YOUR
  117. ACCEPTANCE OF THESE TERMS BY SELECTING THE "ACCEPT" (OR EQUIVALENT) BUTTON AT
  118. THE END OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS, PROMPTLY
  119. RETURN THE UNUSED SOFTWARE TO YOUR PLACE OF PURCHASE FOR A REFUND OR, IF
  120. SOFTWARE IS ACCESSED ELECTRONICALLY, SELECT THE "DECLINE" (OR EQUIVALENT) BUTTON
  121. AT THE END OF THIS AGREEMENT. IF YOU HAVE SEPARATELY AGREED TO LICENSE TERMS
  122. ("MASTER TERMS") FOR YOUR LICENSE TO THIS SOFTWARE, THEN SECTIONS 1-6 OF THIS
  123. AGREEMENT ("SUPPLEMENTAL LICENSE TERMS") SHALL SUPPLEMENT AND SUPERSEDE THE
  124. MASTER TERMS IN RELATION TO THIS SOFTWARE.
  125. 1. Definitions.
  126. (a) "Entitlement" means the collective set of applicable documents authorized by
  127. Sun evidencing your obligation to pay associated fees (if any) for the license,
  128. associated Services, and the authorized scope of use of Software under this
  129. Agreement.
  130. (b) "Licensed Unit" means the unit of measure by which your use of Software
  131. and/or Service is licensed, as described in your Entitlement.
  132. (c) "Permitted Use" means the licensed Software use(s) authorized in this
  133. Agreement as specified in your Entitlement. The Permitted Use for any bundled
  134. Sun software not specified in your Entitlement will be evaluation use as
  135. provided in Section 3.
  136. (d) "Service" means the service(s) that Sun or its delegate will provide, if
  137. any, as selected in your Entitlement and as further described in the applicable
  138. service listings at www.sun.com/service/servicelist.
  139. (e) "Software" means the Sun software described in your Entitlement. Also,
  140. certain software may be included for evaluation use under Section 3.
  141. (f) "You" and "Your" means the individual or legal entity specified in the
  142. Entitlement, or for evaluation purposes, the entity performing the evaluation.
  143. 2. License Grant and Entitlement.
  144. Subject to the terms of your Entitlement, Sun grants you a nonexclusive,
  145. nontransferable limited license to use Software for its Permitted Use for the
  146. license term. Your Entitlement will specify (a) Software licensed, (b) the
  147. Permitted Use, (c) the license term, and (d) the Licensed Units.
  148. Additionally, if your Entitlement includes Services, then it will also specify
  149. the (e) Service and (f) service term.
  150. If your rights to Software or Services are limited in duration and the date such
  151. rights begin is other than the purchase date, your Entitlement will provide that
  152. beginning date(s).
  153. The Entitlement may be delivered to you in various ways depending on the manner
  154. in which you obtain Software and Services, for example, the Entitlement may be
  155. provided in your receipt, invoice or your contract with Sun or authorized Sun
  156. reseller. It may also be in electronic format if you download Software.
  157. 3. Permitted Use.
  158. As selected in your Entitlement, one or more of the following Permitted Uses
  159. will apply to your use of Software. Unless you have an Entitlement that
  160. expressly permits it, you may not use Software for any of the other Permitted
  161. Uses. If you don't have an Entitlement, or if your Entitlement doesn't cover
  162. additional software delivered to you, then such software is for your Evaluation
  163. Use.
  164. (a) Evaluation Use. You may evaluate Software internally for a period of 90
  165. days from your first use.
  166. (b) Research and Instructional Use. You may use Software internally to design,
  167. develop and test, and also to provide instruction on such uses.
  168. (c) Individual Use. You may use Software internally for personal, individual
  169. use.
  170. (d) Commercial Use. You may use Software internally for your own commercial
  171. purposes.
  172. (e) Service Provider Use. You may make Software functionality accessible (but
  173. not by providing Software itself or through outsourcing services) to your end
  174. users in an extranet deployment, but not to your affiliated companies or to
  175. government agencies.
  176. 4. Licensed Units.
  177. Your Permitted Use is limited to the number of Licensed Units stated in your
  178. Entitlement. If you require additional Licensed Units, you will need additional
  179. Entitlement(s).
  180. 5. Restrictions.
  181. (a) The copies of Software provided to you under this Agreement is licensed, not
  182. sold, to you by Sun. Sun reserves all rights not expressly granted. (b) You may
  183. make a single archival copy of Software, but otherwise may not copy, modify, or
  184. distribute Software. However if the Sun documentation accompanying Software
  185. lists specific portions of Software, such as header files, class libraries,
  186. reference source code, and/or redistributable files, that may be handled
  187. differently, you may do so only as provided in the Sun documentation. (c) You
  188. may not rent, lease, lend or encumber Software. (d) Unless enforcement is
  189. prohibited by applicable law, you may not decompile, or reverse engineer
  190. Software. (e) The terms and conditions of this Agreement will apply to any
  191. Software updates, provided to you at Sun's discretion, that replace and/or
  192. supplement the original Software, unless such update contains a separate
  193. license. (f) You may not publish or provide the results of any benchmark or
  194. comparison tests run on Software to any third party without the prior written
  195. consent of Sun. (g) Software is confidential and copyrighted. (h) Unless
  196. otherwise specified, if Software is delivered with embedded or bundled software
  197. that enables functionality of Software, you may not use such software on a
  198. stand-alone basis or use any portion of such software to interoperate with any
  199. program(s) other than Software. (i) Software may contain programs that perform
  200. automated collection of system data and/or automated software updating services.
  201. System data collected through such programs may be used by Sun, its
  202. subcontractors, and its service delivery partners for the purpose of providing
  203. you with remote system services and/or improving Sun's software and systems.
  204. (j) Software is not designed, licensed or intended for use in the design,
  205. construction, operation or maintenance of any nuclear facility and Sun and its
  206. licensors disclaim any express or implied warranty of fitness for such uses.
  207. (k) No right, title or interest in or to any trademark, service mark, logo or
  208. trade name of Sun or its licensors is granted under this Agreement.
  209. 6. Java Compatibility and Open Source.
  210. Software may contain Java technology. You may not create additional classes to,
  211. or modifications of, the Java technology, except under compatibility
  212. requirements available under a separate agreement available at www.java.net.
  213. Sun supports and benefits from the global community of open source developers,
  214. and thanks the community for its important contributions and open
  215. standards-based technology, which Sun has adopted into many of its products.
  216. Please note that portions of Software may be provided with notices and open
  217. source licenses from such communities and third parties that govern the use of
  218. those portions, and any licenses granted hereunder do not alter any rights and
  219. obligations you may have under such open source licenses, however, the
  220. disclaimer of warranty and limitation of liability provisions in this Agreement
  221. will apply to all Software in this distribution.
  222. 7. Term and Termination.
  223. The license and service term are set forth in your Entitlement(s). Your rights
  224. under this Agreement will terminate immediately without notice from Sun if you
  225. materially breach it or take any action in derogation of Sun's and/or its
  226. licensors' rights to Software. Sun may terminate this Agreement should any
  227. Software become, or in Sun's reasonable opinion likely to become, the subject of
  228. a claim of intellectual property infringement or trade secret misappropriation.
  229. Upon termination, you will cease use of, and destroy, Software and confirm
  230. compliance in writing to Sun. Sections 1, 5, 6, 7, and 9-15 will survive
  231. termination of the Agreement.
  232. 8. Limited Warranty.
  233. Sun warrants to you that for a period of 90 days from the date of purchase, as
  234. evidenced by a copy of the receipt, the media on which Software is furnished (if
  235. any) will be free of defects in materials and workmanship under normal use.
  236. Except for the foregoing, Software is provided "AS IS". Your exclusive remedy
  237. and Sun's entire liability under this limited warranty will be at Sun's option
  238. to replace Software media or refund the fee paid for Software. Some states do
  239. not allow limitations on certain implied warranties, so the above may not apply
  240. to you. This limited warranty gives you specific legal rights. You may have
  241. others, which vary from state to state.
  242. 9. Disclaimer of Warranty.
  243. UNLESS SPECIFIED IN THIS AGREEMENT, ALL EXPRESS OR IMPLIED CONDITIONS,
  244. REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF
  245. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT ARE
  246. DISCLAIMED, EXCEPT TO THE EXTENT THAT THESE DISCLAIMERS ARE HELD TO BE LEGALLY
  247. INVALID.
  248. 10. Limitation of Liability.
  249. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL SUN OR ITS LICENSORS BE
  250. LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR SPECIAL, INDIRECT,
  251. CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED REGARDLESS OF THE
  252. THEORY OF LIABILITY, ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE
  253. SOFTWARE, EVEN IF SUN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In
  254. no event will Sun's liability to you, whether in contract, tort (including
  255. negligence), or otherwise, exceed the amount paid by you for Software under this
  256. Agreement. The foregoing limitations will apply even if the above stated
  257. warranty fails of its essential purpose. Some states do not allow the exclusion
  258. of incidental or consequential damages, so some of the terms above may not be
  259. applicable to you.
  260. 11. Export Regulations.
  261. All Software, documents, technical data, and any other materials delivered under
  262. this Agreement are subject to U.S. export control laws and may be subject to
  263. export or import regulations in other countries. You agree to comply strictly
  264. with these laws and regulations and acknowledge that you have the responsibility
  265. to obtain any licenses to export, re-export, or import as may be required after
  266. delivery to you.
  267. 12. U.S. Government Restricted Rights.
  268. If Software is being acquired by or on behalf of the U.S. Government or by a
  269. U.S. Government prime contractor or subcontractor (at any tier), then the
  270. Government's rights in Software and accompanying documentation will be only as
  271. set forth in this Agreement; this is in accordance with 48 CFR 227.7201 through
  272. 227.7202-4 (for Department of Defense (DOD) acquisitions) and with 48 CFR 2.101
  273. and 12.212 (for non-DOD acquisitions).
  274. 13. Governing Law.
  275. Any action related to this Agreement will be governed by California law and
  276. controlling U.S. federal law. No choice of law rules of any jurisdiction will
  277. apply.
  278. 14. Severability.
  279. If any provision of this Agreement is held to be unenforceable, this Agreement
  280. will remain in effect with the provision omitted, unless omission would
  281. frustrate the intent of the parties, in which case this Agreement will
  282. immediately terminate.
  283. 15. Integration.
  284. This Agreement, including any terms contained in your Entitlement, is the entire
  285. agreement between you and Sun relating to its subject matter. It supersedes all
  286. prior or contemporaneous oral or written communications, proposals,
  287. representations and warranties and prevails over any conflicting or additional
  288. terms of any quote, order, acknowledgment, or other communication between the
  289. parties relating to its subject matter during the term of this Agreement. No
  290. modification of this Agreement will be binding, unless in writing and signed by
  291. an authorized representative of each party.
